1. GENERAL TERMS OF SERVICE (APPLIES TO ALL USERS)

Introduction

These General Terms of Service ("General Terms") govern your access to and use of the MangoErrands websites, mobile applications (Sender, Receiver, and Vendor apps), and related services (collectively, the "Services") operated by MangoErrands Global Payments ("MangoErrands," "we," "us," or "our").

By using the Services, you agree to these General Terms, the Vendor Agreement (if applicable), the User Agreement, the Acceptable Use Policy, and the Privacy Policy. If you do not agree to these Terms, please do not use the Services.

Our Services

MangoErrands is a purpose-driven technology platform that enables Senders to fund purchases from approved vendors in Jamaica with spending rules and controls.

How It Works

  • Senders (typically in the diaspora) fund transactions through the Platform

  • Receivers (friends/family in Jamaica) receive a unique code to present to Vendors

  • Vendors (approved businesses in Jamaica) accept the code as payment and provide goods/services

  • Payment Settlement: Funds are settled to Vendors via Stripe, our licensed payment processor

  • MangoErrands' Role: We are a technology platform, marketplace, and payment facilitator. We are not a remittance or money transfer company. We are an authorized agent of Stripe for payment processing purposes only. We never take custody of customer funds.

Regulatory Status (Jamaica)

This section is critical for vendor trust and regulatory compliance.

MangoErrands Global Payments is a technology platform that facilitates payments between Senders and approved Vendors. We are not a remittance or money transfer company.

To ensure compliance with Jamaican financial regulations, we have applied for and are in the process of obtaining a Letter of No Objection from the Bank of Jamaica (BOJ) to operate our fintech platform in collaboration with our licensed payment processor, Stripe. This Letter confirms that our marketplace business model is authorized and compliant with the Bank of Jamaica's regulatory framework for payment services.

MangoErrands is an authorized agent of Stripe, a licensed financial services provider. Stripe is the Merchant of Record for all transactions. MangoErrands never takes custody of customer funds.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age.

Payments, Refunds, Chargebacks, and Chargeoffs

  • All transactions are processed via Stripe. Fees and exchange rates are disclosed before confirmation

  • Transfers are generally final once funds are made available to the Receiver or paid to a Vendor

  • Funds Deposited to a Vendor in Error: Report within 48 hours. We will attempt recovery. Successful refunds are issued minus fees and a recovery fee (up to 5%)

  • Receiver Has Already Spent the Funds: Generally non-refundable. Exceptional cases (e.g., proven Vendor fraud or non-delivery) may be reviewed at our sole discretion, subject to an administrative fee

  • Chargebacks: Abusive chargebacks are prohibited. You are liable for all related losses and fees

  • Chargeoffs: You remain liable for unrecoverable amounts

Disclaimers & Limitation of Liability

"AS IS" Disclaimer: The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability: To the maximum extent permitted by applicable law, our total liability to you arising out of or relating to these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. This limitation applies to all claims, whether in contract, tort, or otherwise.

No Liability for Third-Party Conduct: We are not responsible for the acts or omissions of Vendors, Receivers, Senders, Stripe, or any other third party.

Governing Law & Dispute Resolution

For Users in Jamaica (Vendors, Receivers, and Senders located in Jamaica):

  • These Terms shall be governed by and construed in accordance with the laws of Jamaica

  • Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Jamaica

  • If a dispute cannot be resolved through our customer support process, you may also contact the Consumer Affairs Commission (CAC) of Jamaica at: 14-18 Grenada Way, Kingston 5, Jamaica; Website: cac.gov.jm

For Users Outside Jamaica (including Senders located in the United States)

  • These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles

  • Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules

  • The arbitration shall be conducted in New York, New York, in the English language

  • Judgment on the arbitration award may be entered in any court having jurisdiction thereof

Class Action Waiver: To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding. If this class action waiver is held to be unenforceable, then the entire arbitration provision shall be void and the dispute shall be resolved by a court of competent jurisdiction.

Export Control

You agree not to use the Services in any manner that would violate applicable export control laws or sanctions, including but not limited to US Office of Foreign Assets Control (OFAC) regulations. You represent and warrant that you are not located in or a resident of any country subject to US sanctions.

No Agency

Nothing in these Terms shall be construed to create an agency, partnership, joint venture, or employment relationship between you and MangoErrands. MangoErrands is an independent contractor and a payment facilitator. Vendors are independent businesses, not employees, agents, or franchisees of MangoErrands. MangoErrands is an authorized agent of Stripe for payment processing purposes only.

Third-Party Rights

Except as expressly provided in these Terms, nothing in these Terms shall confer any rights upon any third party. The provisions of these Terms are for the benefit of MangoErrands and its users only and are not intended to confer any rights or remedies upon any other person or entity.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by any event beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, natural disasters, governmental actions, pandemics, strikes, or internet/service provider failures. The affected party shall promptly notify the other party and take reasonable steps to mitigate the impact of the event.

2. VENDOR AGREEMENT (JAMAICA)

Scope

This Vendor Agreement ("Vendor Agreement") applies to businesses operating in Jamaica that accept payments through the Platform. By registering as a Vendor, you agree to be bound by this Vendor Agreement.

Vendor Responsibilities

  • Accept valid QR codes and alphanumeric codes as payment

  • Verify the Receiver's identity before providing goods or services

  • Provide the ordered goods or services promptly and in accordance with the Sender's instructions

  • Comply with all Jamaican laws, including but not limited to tax obligations (GCT) and the Data Protection Act, 2020

  • Cooperate fully with KYC/AML, disputes, and investigations

  • Maintain accurate bank account details

  • Maintain a clear and accessible refund policy for customers

  • Inform customers of any changes to pricing, availability, or delivery timelines

Delivery and Performance

  • Vendors must provide the ordered goods or services within the timeframe communicated to the Sender or Receiver at the time of the order

  • If a Vendor fails to deliver goods or services as ordered, the Sender/Receiver may request a refund through the Platform

  • Vendors are liable for non-delivery, partial delivery, or delivery of incorrect items

  • MangoErrands may, at its discretion, facilitate refunds for non-delivery and seek recovery from the Vendor

  • Vendors must notify the Platform immediately if they are unable to fulfill an order

KYC/AML Compliance

Vendors must provide accurate information for identity verification, including:

  • Business registration documents (COJ Certificate, TRN)

  • Beneficial ownership information for the business

  • Valid government-issued ID for authorized representatives

  • Bank account details for payment settlement

  • Valid email address and phone number for contact

Vendors must report any suspicious transactions to us immediately. We reserve the right to suspend or terminate vendor accounts for failure to comply with KYC/AML obligations.

Data Protection (Jamaica DPA 2020)

Vendors agree to

  • Process Personal Data (as defined in the Data Protection Act, 2020) only in accordance with this Agreement

  • Implement appropriate technical and organizational security measures to protect Personal Data

  • Notify us immediately of any data breach affecting data received through the Platform (within 72 hours)

  • Respond to data subject access requests (DSARs) made by individuals through the Platform in a timely manner (within 30 days)

  • Co-operate with us to ensure compliance with the Data Protection Act, 2020

  • Not transfer Personal Data outside of Jamaica without prior written consent and appropriate safeguards

  • Comply with the eight data protection standards under the DPA: fairness and lawfulness, purpose limitation, data minimization, accuracy, storage limitation, security, rights of data subjects, and accountability

Fees

We deduct a total fee of 7% from each transaction (inclusive of Stripe and platform fees). This fee is disclosed to Vendors before each transaction is confirmed.

Payment Guarantee

Once you scan/validate the code and confirm the Receiver's identity, we will initiate payment to your designated bank account, subject to fraud and anti-money laundering checks.

Payment Timeline: Payment will be remitted within 1-5 business days, provided:

  • The transaction is not flagged for fraud review

  • Your bank account information is accurate and valid

  • The funds have been successfully settled to us by Stripe

  • The Receiver has confirmed receipt of goods/services (where applicable)

Important: We do not guarantee payment if:

  • The transaction is determined to be fraudulent, illegal, or in violation of these Terms

  • The Receiver disputes the transaction

  • The goods or services were not delivered as ordered

We reserve the right to hold, reverse, or delay payment pending investigation.

Refunds & Chargebacks

  • You are responsible for processing refunds to Senders/Receivers in accordance with your refund policy

  • You are liable for all chargeback fees, reversal fees, and associated costs for transactions you process

  • If we receive a chargeback or reversal, we may deduct the amount from future settlements or invoice you for the amount

  • You must notify us immediately of any refunds you process

Prohibited Items

You may not offer the following items or services through the Platform

  • Explosives, weapons, or firearms

  • Illegal drugs or drug paraphernalia

  • Counterfeit goods or stolen property

  • Hazardous materials

  • Sexually explicit materials or adult content

  • Gambling products or services

  • Prescription medications (except licensed pharmacies)

  • Tobacco or nicotine products

  • Any items prohibited by Jamaican law or US sanctions

Intellectual Property

You grant us a non-exclusive, royalty-free, worldwide license to display your business name, logo, and information on the Platform for the purpose of marketing and facilitating transactions.

Indemnification

You agree to indemnify and hold harmless MangoErrands, its officers, directors, employees, and agents from and against any claims, losses, damages, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of this Agreement

  • Your failure to deliver goods or services as ordered

  • Your violation of applicable laws (including the Jamaica Data Protection Act, 2020, and Consumer Protection Act)

  • Your negligent or willful misconduct

  • Any claim by a third party relating to your goods or services

Limitation: This indemnification obligation shall not apply to the extent the claim arises from MangoErrands' own negligence, willful misconduct, or breach of this Agreement. MangoErrands shall notify you promptly of any claim and permit you to participate in the defense, provided that MangoErrands retains sole control of the defense and settlement of any claim.

Limitation of Liability (Vendors)

To the maximum extent permitted by Jamaican law, MangoErrands' total liability to any Vendor arising out of or relating to this Agreement shall not exceed the total fees paid by that Vendor to MangoErrands in the twelve (12) months preceding the claim. This limitation applies to all claims, whether in contract, tort, or otherwise.

Dispute Resolution (Vendors)

  • Any dispute arising out of or relating to this Agreement shall first be escalated to MangoErrands' customer support team at legal@MangoErrands.com

  • If the dispute cannot be resolved within thirty (30) days, either party may refer the matter to the courts of Jamaica

  • This Agreement shall be governed by and construed in accordance with the laws of Jamaica

Termination

  • Either party may terminate this Agreement upon thirty (30) days' written notice

  • We may terminate this Agreement immediately and without notice if you breach any term, engage in fraud, or violate applicable law

  • Upon termination, all outstanding settlements shall be processed within thirty (30) days, subject to fraud and AML review

3. USER AGREEMENT (SENDERS & RECEIVERS)

Description of Service

MangoErrands Global Payments facilitates purpose-driven payments from Senders to approved Jamaican Vendors. Senders fund transactions, Receivers receive a unique code, and Vendors redeem the code for goods or services.

Our Role

  • MangoErrands acts solely as a technology platform, marketplace, and payment facilitator - not as a remittance or money transfer company

  • All payments are processed by Stripe, a licensed payment processor

  • Stripe is the Merchant of Record

  • MangoErrands never takes custody of customer funds

  • We are not responsible for the quality, delivery, or performance of goods or services provided by Vendors

  • We do not warrant or guarantee any goods or services offered by Vendors

  • We are not responsible for disputes between Senders, Receivers, and Vendors except as expressly provided herein

Error Resolution and Refunds

Cancellation Window: 30 minutes after payment if the code has not been redeemed.

Error Reporting: 60 days from the date of the transaction for all users.

Valid Errors Include

  • Wrong amount charged

  • Wrong Vendor credited

  • Platform failure resulting in duplicate charges or lost transactions

  • Code not generated or delivered

Non-Errors Include

  • Quality disputes (resolve with Vendor)

  • Buyer's remorse or change of mind

  • Receiver already spent the funds

  • Vendor-specific issues (delivery delays, stock issues)

Our Process

  • We will investigate and respond to error reports within ten (10) business days

  • For valid errors, we will issue a refund or correct the issue

  • We may request documentation to support your claim (e.g., receipts, screenshots)

Consumer Protection (Jamaica)

In accordance with the Consumer Protection Act of Jamaica

  • You have the right to receive goods and services of acceptable quality

  • If goods or services are not of acceptable quality, you may be entitled to a refund, replacement, or repair

  • Disputes may be referred to the Consumer Affairs Commission (CAC) of Jamaica

Limitation of Liability (Users)

To the maximum extent permitted by law, our liability to any Sender or Receiver is limited to the fees paid for the specific transaction giving rise to the claim. We are not liable for any indirect, incidental, special, or consequential damages.

4. ACCEPTABLE USE POLICY

You may use the Services only for lawful purposes. Prohibited activities include:

  • Fraud or attempted fraud

  • Money laundering or terrorist financing

  • Sale of prohibited items (as listed in the Vendor Agreement)

  • Spam or unsolicited communications

  • Abuse of the Platform or its users

  • Any violation of applicable laws (Jamaican, US, or otherwise)

We reserve the right to suspend or terminate accounts for violations of this policy, without prior notice.

5. GENERAL PROVISIONS (APPLIES TO ALL)

Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and MangoErrands.

In the event of a conflict, the following order of precedence shall apply:

  • Vendor Agreement (for Vendors)

  • User Agreement (for Senders/Receivers)

  • General Terms of Service

  • Acceptable Use Policy

  • Privacy Policy

Changes to These Terms

We reserve the right to update these Terms from time to time. If we make material changes:

  • We will post the updated Terms on this page

  • We will provide a more prominent notice (e.g., email notification or website banner)

  • If required by law, we will obtain your consent

Your continued use of the Services following the posting of changes will constitute your acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Survival

The following provisions shall survive termination of these Terms: Intellectual Property, Indemnification, Limitation of Liability, Governing Law, Dispute Resolution, and any other provisions that by their nature are intended to survive.

Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Headings

Headings are for convenience only and shall not affect the interpretation of these Terms.

Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall control.
